TERMS OF SERVICE AGREEMENT

Welcome to Notralo, an online escrow transaction service operated by FOH-PEE ENTERPRISE, a sole proprietorship business registered under the laws of Ghana.

These Terms of Service (“Terms”) govern your access to and use of the Notralo platform available through notralo.prierz.com and any related services provided by Notralo.

By accessing or using Notralo, you agree that you have read, understood, and accepted these Terms. If you do not agree with any part of these Terms, you must not use the Notralo service.



1. ABOUT NOTRALO

Notralo is a digital escrow facilitation platform designed to promote safer transactions between buyers and sellers by providing a structured process where funds may be held temporarily pending fulfilment of agreed transaction conditions.

Notralo operates under:

Business Structure: Sole Proprietorship
Trading Name: Notralo
Website: notralo.prierz.com

Notralo provides escrow transaction management services and does not act as:

* A bank;
* A lending institution;
* An investment platform;
* A payment service provider unless separately authorised;
* A seller, buyer, manufacturer, or owner of goods/services listed by users.



2. DEFINITIONS

For the purpose of these Terms:

“Notralo” means the escrow service operated by FOH-PEE ENTERPRISE.

“Buyer” means the person purchasing goods or services through a transaction facilitated by Notralo.

“Seller” means the person providing goods or services through a transaction facilitated by Notralo.

“Parties” means the Buyer and Seller involved in a transaction.

“Escrow Funds” means money temporarily held or controlled through the Notralo process until agreed transaction conditions are satisfied.

“Transaction” means an agreement between a Buyer and Seller facilitated through Notralo.

“Platform” means the Notralo website, software, applications, and related digital services.



3. ELIGIBILITY TO USE NOTRALO

To use Notralo, you confirm that:

1. You are legally capable of entering into binding agreements.
2. All information provided by you is accurate and complete.
3. You will comply with all applicable laws and regulations.
4. You will not use Notralo for fraudulent, illegal, or prohibited activities.

Notralo reserves the right to refuse service, suspend accounts, or terminate access where misuse is suspected.



4. HOW THE ESCROW SERVICE WORKS

A typical Notralo transaction may involve:

Step 1: Transaction Creation

The Buyer and Seller agree on:

* Item or service being exchanged;
* Transaction amount;
* Delivery or completion requirements;
* Inspection period;
* Release conditions.

Step 2: Deposit of Funds

The Buyer transfers payment according to Notralo instructions.

Step 3: Seller Fulfilment

The Seller provides the agreed goods or services.

Step 4: Confirmation

The Buyer confirms receipt and satisfaction with the transaction.

Step 5: Release of Funds

Upon satisfaction of agreed conditions, funds are released to the Seller.



5. ROLE OF NOTRALO

Notralo’s role is limited to facilitating trust between Buyers and Sellers.

Notralo does not:

* Guarantee the quality, authenticity, legality, safety, or suitability of goods/services;
* Become a party to the underlying sales agreement;
* Take ownership of goods or services;
* Guarantee successful completion of every transaction;
* Act as a legal representative of either party.

Users remain responsible for conducting their own due diligence before entering transactions.



6. USER RESPONSIBILITIES

Users agree to:

* Provide truthful information;
* Maintain account security;
* Protect login credentials;
* Communicate honestly with transaction parties;
* Deliver or receive goods/services as agreed;
* Not manipulate transaction evidence;
* Not engage in scams, money laundering, fraud, or unlawful activities.



7. PROHIBITED TRANSACTIONS

Notralo may prohibit transactions involving:

* Illegal goods or services;
* Stolen property;
* Weapons prohibited by law;
* Fraudulent financial activities;
* Money laundering;
* False documentation;
* Counterfeit goods;
* Transactions intended to deceive Notralo or another user.

Notralo reserves the right to investigate and suspend suspicious transactions.



8. ESCROW FUNDS AND RELEASE CONDITIONS

Funds shall only be released according to the agreed transaction terms.

Release may occur when:

* Buyer confirms completion;
* Inspection period expires without dispute;
* Parties reach mutual agreement;
* A dispute resolution process determines release.

Notralo may temporarily delay release where:

* Fraud is suspected;
* Verification is required;
* Legal obligations require investigation;
* A dispute exists.



9. FEES AND CHARGES

Notralo may charge service fees for escrow transactions.

Applicable fees shall be disclosed before completion of each transaction.

Users agree that:

* Fees may be deducted from transaction amounts where applicable;
* Additional charges may apply for certain services;
* Fees paid for completed services may not be refundable except where required by law or approved by Notralo.



10. DISPUTE RESOLUTION

Where a dispute arises between Buyer and Seller:

1. Parties should first attempt to resolve the issue directly.
2. Either party may request Notralo assistance.
3. Notralo may review available evidence including:
* Transaction records;
* Communication history;
* Delivery evidence;
* Photographs;
* Supporting documents.

Notralo’s dispute assistance is intended to facilitate resolution but does not replace formal legal proceedings.



11. LIMITATION OF LIABILITY

To the maximum extent permitted by law, FOH-PEE ENTERPRISE and Notralo shall not be liable for:

* Loss caused by dishonest users;
* Poor-quality goods/services supplied by sellers;
* Delayed delivery caused by third parties;
* Incorrect information provided by users;
* User negligence;
* External payment system failures.

Notralo’s responsibility is limited to providing the escrow facilitation service.



12. USER VERIFICATION

Notralo may require users to provide verification information including:

* Name;
* Contact details;
* Identification documents;
* Business information;
* Transaction-related evidence.

Verification does not constitute a guarantee that a user is trustworthy or that a transaction will succeed.



13. PRIVACY AND DATA PROTECTION

Notralo may collect and process user information necessary to:

* Create accounts;
* Process transactions;
* Prevent fraud;
* Provide customer support;
* Improve services.

Notralo will take reasonable measures to protect personal information.

Users consent to the processing of information required for legitimate business operations.



14. ELECTRONIC COMMUNICATION

By using Notralo, users consent to receiving electronic communications including:

* Transaction updates;
* Security notifications;
* Service announcements;
* Account-related messages.

Electronic records may be used as evidence of transactions.



15. INTELLECTUAL PROPERTY

All content, branding, software, logos, designs, and materials belonging to Notralo remain the property of FOH-PEE ENTERPRISE unless otherwise stated.

Users may not copy, reproduce, modify, or distribute Notralo materials without permission.



16. ACCOUNT SUSPENSION AND TERMINATION

Notralo may suspend or terminate access where:

* Fraud is suspected;
* Terms are violated;
* Illegal activity occurs;
* The platform is abused;
* Required verification is refused.

Termination does not remove obligations relating to completed transactions.



17. THIRD-PARTY SERVICES

Notralo may integrate third-party services including:

* Payment processors;
* Verification providers;
* Communication services.

Notralo is not responsible for failures caused by independent third-party providers.



18. CHANGES TO THESE TERMS

Notralo may update these Terms from time to time.

Users will be notified of significant changes through appropriate channels.

Continued use of Notralo after updates means acceptance of the revised Terms.



19. GOVERNING LAW

These Terms shall be governed and interpreted according to the laws of the Republic of Ghana.

Any dispute arising from these Terms shall first be addressed through good-faith negotiation. Where unresolved, parties may seek appropriate legal remedies through the courts of Ghana.
